1. Definitions
· “Company” refers to V-MiC Energy and Lighting Solutions.
· “Client” refers to the person or entity purchasing goods or services.
· “Goods” refers to lighting products, fittings, or systems supplied by the Company.
· “Services” refers to design, installation, maintenance, or consultation services provided by the Company.
2. Quotations and Orders
· All quotations are valid for 15 days unless stated otherwise.
· Orders must be confirmed in writing (email or signed document).
· The Company reserves the right to revise pricing if materials or transport costs change prior to confirmation.
3. Prices and Payment
· All prices are exclusive of VAT, duties, or delivery charges unless otherwise stated.
· Unless otherwise agreed in writing, 100% payment is required in advance before delivery or commencement of services.
· Any variation to payment terms must be agreed upon in a separate written agreement.
4. Delivery and Risk
· Delivery dates are estimates and may vary due to factors beyond the Company's control.
· Risk in the goods passes to the Client upon delivery.
· Ownership remains with the Company until full payment has been received.
5. Installation Services
· Installation services are considered additional and must be clearly stated in the order or quotation.
· If not requested or written in the agreement, installation will not be assumed to accompany the goods procured.
· The Client must ensure site readiness, power supply, and access before installation begins.
·Installation services are typically performed by contractors appointed by V-MiC in the client's region. These contractors are independent entities that meet specific requirements and are capable of handling V-MiC’s products. Therefore, any issues related to installation will be addressed directly with the contractors.
6. Warranty
· Warranty periods are product-specific and shall be communicated per item or category ranging from 12 to 60 months.
· Warranty covers manufacturing defects only, not damage resulting from misuse, improper installation, or external factors.
· The Company's liability under warranty is limited to repair, replacement, or credit for defective items.
7. Returns and Cancellations
· Goods may only be returned with prior written approval from the Company.
· A restocking fee may apply for non-defective returns.
· Custom or special-order items cannot be returned or cancelled.
8. Liability
· The Company shall not be liable for indirect, consequential, or incidental damages or losses.
· Total liability shall not exceed 50% of the total contract value.
· The Client is responsible for ensuring products meet local codes and project specifications.
9. Intellectual Property
· All designs, drawings, and proposals remain the intellectual property of the Company unless released in writing.
· The Client shall not reproduce or share Company designs or documentation without prior written consent.
10. Force Majeure
· The Company shall not be liable for any delay or failure caused by circumstances beyond its reasonable control, including natural disasters, supply shortages, strikes, or transportation issues.
11. Governing Law
· This agreement is governed by the laws of the United Kingdom and, where applicable, international trade laws.
· Any disputes shall be handled in the courts of competent jurisdiction within England.
12. Acceptance
· By placing an order, the Client acknowledges and accepts these Terms and Conditions in full.
